Welcome to Sensio! These Terms of Use (“Terms”) govern your access to and use of our website, mobile application, and other online services (collectively, the “Platform”) as well as the use of our wearable smart ring products (“Products”). By accessing or using our Platform and Products, you agree to be bound by these Terms.

1. Use of Platform

Eligibility: You must be at least 18 years old to use our Platform. By using our Platform, you represent and warrant that you meet this age requirement.

Account Registration: You may need to create an account to access certain features of our Platform. You agree to provide accurate and complete information during the registration process and to keep your account information updated.

Prices may vary based on market conditions, demand, discounts and other factors. This shall be offered or withdrawn at Sensio’s will from time to time. Taxes and Duties: Prices displayed are exclusive of any applicable taxes and duties. You are responsible for paying any taxes, duties, and other governmental charges imposed on the sale or use of the Products.

6. Mode of Payment

License Grant: Subject to these Terms, Sensio grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your personal, non-commercial use.

License Restrictions: You agree not to (i) copy, modify, or distribute the Platform or Products, (ii) reverse engineer or attempt to extract the source code of the Platform, or (iii) use the Platform or Products for any unlawful purpose.

9. Site Security

Security Measures: We implement reasonable security measures to protect your information. However, we cannot guarantee that our Platform will be secure or free from bugs or viruses.

User Responsibility: You are responsible for configuring your information technology, computer programs, and platform to access our Platform. You should use your own virus protection software.

10. User Submitted Content

Content Submission: You may have the opportunity to submit reviews, comments, and other content (“User Content”) to our Platform. By submitting User Content, you grant Sensio a worldwide, perpetual, irrevocable, royalty-free, and transferable license to use, reproduce, modify, distribute, and display such content.

Content Standards: You agree that your User Content will not be unlawful, offensive, defamatory, or otherwise objectionable. We reserve the right to remove any User Content that violates these standards.

11. Representations & Warranties

Your Representations: You represent and warrant that (i) you have the right and authority to enter into these Terms, (ii) your use of the Platform and Products will comply with all applicable laws and regulations, and (iii) any information you provide to Sensio is accurate and complete.

No Warranty: Sensio provides the Platform and Products “as is” and “as available” without any warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Disclaimer

Use at Your Own Risk: Your use of the Platform and Products is at your own risk. We do not guarantee that the Platform will be available at all times or that the Products will meet your expectations.

Limitation of Liability: To the maximum extent permitted by law, Sensio shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform or Products.

13. Limited Liability

Liability Cap: Sensio’s total liability to you for any claims arising out of or in connection with these Terms or your use of the Platform or Products shall not exceed the amount you paid for the Products.

Exclusions: Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions and limitations may not apply to you.

14. Indemnity

Indemnification: You agree to indemnify, defend, and hold harmless Sensio, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Platform or Products, or your violation of these Terms.

15. Governing Law & Jurisdiction

Governing Law: These Terms are governed by the laws of India, without regard to its conflict of laws principles.

Jurisdiction: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.

16. Dispute Resolution

Arbitration: Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the [Arbitration Institution] in Bangalore, India. The arbitration shall be conducted in English.

Class Action Waiver: You agree that any arbitration will be conducted on an individual basis and not in a class, consolidated, or representative action.
